DATES OF PROMOTION: “Race to Win SmartFi $30,000 Crypto Supercross” Sweepstakes (the “Promotion”) begins at 12:00:00 a.m. Eastern Time (“ET”) on January 8, 2022 and ends at 11:59:59 p.m. ET on April 24, 2022 (“Promotion Period”). Sponsor’s clock is the official clock of the Promotion. All Entrants (defined below) must have access to the Internet in order to enter. Normal Internet, phone and usage charges imposed by your online or phone service provider may apply.

ELIGIBILITY: The Promotion is open only to legal residents of one of the fifty (50) United States or the District of Columbia (excluding Hawaii and New York) who are eighteen (18) years of age or older or the age of majority in their state of residence at the time of entry (the “Entrant”). Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in same household, whether related or not) of Sponsor, its subsidiaries, and each of its respective parent companies, franchisees, affiliates, contractors, consultants, legal counsel, public relations, subsidiaries, distributors, sales representatives, retailers, website providers, webmasters, advertising and promotional, fulfillment, and marketing agencies, and any others engaged in the development, production, execution or distribution of this Promotion, including but not limited to, National Sweepstakes Company, LLC (the “Independent Administrator”) herein (the “Promotion Entities”), are not eligible to participate. Promotion is void in Hawaii, New York, outside of the fifty (50) United States, the District of Columbia and wherever else restricted or prohibited by law. By entering the Promotion, Entrant indicates their full and unconditional agreement to, and acceptance of, these Official Rules and the decision of the Sponsor, which are final and binding in all respects. Winning a prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: Visit https://portal.smartfi.com/signup (the “Website”) and complete the member sign up to include all required fields in their entirety along with a Know Your Customer application. All required information is necessary and the Sponsor must approve the Know Your Customer application to receive one (1) entry into the Promotion. Entrant must submit by 11:59 p.m. ET on April 24, 2022 to receive an entry. Member sign up is free.  While you must become a SmartFi member, you are NOT required to purchase SmartFi Tokens or engage in any other transaction involving cryptocurrency nor will doing so in any way improve your chances of winning. Please review the Terms of Use (https://portal.smartfi.com/terms-of-use) and Privacy Policy (https://portal.smartfi.com/privacy-policy) for Member information. There is a limit of one (1) entry per Entrant for the entire Promotion Period. Neither Sponsor nor any other Promotion Entities are responsible for any entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions or any other reason, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry (i.e., provided when signing up as a SmartFi member). The authorized account holder is the natural person who is assigned to the e-mail address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning e-mail addresses, or the domain associated with the submitted e-mail address. Potential Grand Prize Winner (defined below) may be required to show proof of being the authorized account holder. Any attempt by an Entrant to obtain more than the allowable number of entries by using multiple/different email addresses, Accounts, identities, registrations, logins, and/or any other methods, including, but not limited to, automated entry, will void all of that Entrant’s entries and that Entrant may be disqualified from the Promotion. Multiple Entrants are not permitted to share the same email address or Accounts. Neither the Sponsor nor any Promotion Entity will verify receipt of entries for Entrants. All entries submitted become the sole property of Sponsor and will not be returned.

DRAWING/ODDS: On or about April 25, 2022, one (1) grand prize winner (the “Grand Prize Winner”) will be selected at random from among all eligible entries received during the Promotion Period. Odds of winning depend upon the total number of eligible entries received during the Promotion Period. The random drawing will be conducted by a Sponsor representative, whose decisions are based on its sole discretion and interpretation of these Official Rules, and are final and binding in all respects.

GRAND PRIZE: Grand Prize Winner will receive: a) $25,000 in SmartFi Tokens (approximately, 75,000 SmartFi Tokens), b) $5,000 US Dollars (USD) cash to be awarded in the form of a check and c) two (2) tickets to the 2022 Monster Energy AMA Supercross event in Salt Lake City, UT on May 7, 2022, to include: i) two (2) Supercross event VIP tickets for May 7, 2022, ii) coach class airfare for two (2) from a major airport closest to the Grand Prize Winner’s residence and Salt Lake City, UT, and iii) two (2) night hotel accommodation (standard room, double occupancy) at a hotel to be determined by the Sponsor. Total approximate retail value (“ARV”) of the Grand Prize is $32,118.

Disclaimer for SmartFi Tokens: $25,000 of SmartFi Tokens will be deposited to Grand Prize winner’s approximately five (5) business days after completion of the winner verification procedure.  The actual quantity of SmartFi Tokens received depends upon the US Dollars to SmartFi Token exchange rate at the time of deposit in winner’s SmartFi member account. Winner is solely responsible for securing his/her SmartFi member account against unauthorized use as well as for properly recording his/her SmartFi member account password for future reference. If winner’s SmartFi member account is inaccessible to winner or corrupted, winner may lose SmartFi Token element of Grand Prize with Sponsor having no liability for same.  Unlike US Dollars or other traditional currency, SmartFi Tokens are a purely digital currency which is not backed or supported by any governmental authority or central bank. The value of digital currencies is determined solely by the economic forces of supply and demand, and they are more volatile than traditional currencies as well as many other traditional forms of investment. Trading in digital currencies comes with significant risks, including volatile market price swings or flash crashes, market manipulation, and cybersecurity risks, all of which could result in loss of digital currency without recourse of any kind. In addition, digital currency markets and exchanges are generally unregulated and, as such, lack the controls or customer protections available in equity, option, futures, or foreign exchange investing. Digital currency trading requires knowledge of digital currency markets. In attempting to profit through digital currency trading, you must compete with traders worldwide. You should have appropriate knowledge and experience before engaging in substantial digital currency trading. Digital currency trading can lead to large and immediate financial losses. Under certain market conditions, you may find it difficult or impossible to liquidate a position quickly at a reasonable price. This can occur, for example, when the market for a particular digital currency suddenly drops, or if trading is halted due to recent news events, unusual trading activity, or changes in the underlying digital currency system. Grand Prize is inclusive of event tickets and Track Walk tickets only.  Grand Prize details, including dates are at Sponsor’s discretion. Grand Prize must be taken on the dates and location determined by the Sponsor. In the event the Grand Prize Winner is unable to attend, the Grand Prize Winner will forfeit his/her right to the Grand Prize and no compensation will be awarded. The dates of travel will be May 6, 2022 to May 8, 2022.  Events and experience elements selected by Sponsor may be subject to change due to impracticability or unavailability, or for any other reason as determined necessary by Sponsor or its designee, and are subject to any and all applicable health and safety protocols (which may be dictated by provider/location policies and/or state and/or local government requirements – all of which are subject to change at any time, including as the result of the COVID-19 pandemic). Grand Prize Winner and guest must travel together on the same itinerary.  All travel arrangements must be made through a travel agent or entity selected by Sponsor. Tickets, VIP/track walk experiences and certificates if any, are subject to the terms and conditions of issuer, which may include completion of VIP/track walk experience liability release documents, and will not be replaced by Sponsor if lost, stolen, misplaced, damaged or destroyed. Travel must originate and end at the same major gateway airport. Grand Prize Winner and guest will be required to obtain any travel related documents and maintain all insurance (including health, liability and any other insurance).  Any guest under the age of eighteen (18) must travel with a parent/legal guardian.  Grand Prize Winner acknowledges and agrees that the Sweepstakes Entities are not providers/carriers of transportation, or insurance providers. No changes will be made to travel details once any element(s) of the travel arrangements have been booked. No frequent flier miles will be earned on any element of prize travel.  Any difference between ARV and actual value will not be awarded as cash or otherwise. Grand Prize must be accepted as a whole or will be forfeited in its entirety. If the Grand Prize Winner and guest cannot attend on the dates specified by the Sponsor, the Grand Prize will be forfeited in its entirety. Grand Prize Winner will be responsible for all meals, travel, transportation, excursions, tips or gratuities, fuel, parking, beverages, telephone calls, extras and any other incidental costs or expenses not specifically stated herein as being included. Grand Prize conditions may be added or modified by Sponsor or its designee. Promotion Entities are not responsible for any changes of any element of the Grand Prize, nor are they liable for any expenses incurred as a consequence of event changes, cancellation or delays. Any unclaimed and/or unused element of the Grand Prize, or any element thereof, will remain the property of Sponsor or its designee. The Grand Prize restrictions/conditions stated herein are not all-inclusive and the described above may be subject to additional restrictions/conditions, which may be stated in the Affidavit (as defined herein), and/or other release documents. Grand Prize Winner later found ineligible or non-compliant will be immediately required to return and forfeit any prize awarded. In the event Grand Prize Winner and/or guests engage in behavior that, as determined by Sponsor (or its designee) in their absolute discretion, is obnoxious or threatening, dangerous, illegal or that is intended to annoy, abuse, threaten or harass any other person, or may cause harm, property damage or any other loss, Sponsor reserves the right to terminate early, in whole or in part, and to send the Grand Prize Winner (and guests) home with no further compensation.

Grand Prize Winner and guest will be provided with ground transportation in the event the Grand Prize Winner resides within a reasonable driving distance of the Supercross event. Grand Prize Winner understands and agrees that Sponsor and/or prize provider have the right, at their sole discretion, to disqualify and remove the Grand Prize Winner or his or her guest from Supercross at any time without compensation if the Grand Prize Winner’s or his or her guest’s behavior at any point is uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of Sponsor or otherwise violates the policies of the Sponsor and in such a case, Grand Prize Winner will still be solely responsible for all taxes and other expenses related to the Grand Prize, if any. Any Grand Prize activities, experiences or other elements may be selected or substituted by Sponsor (or its authorized representative) in its sole and absolute discretion. Grand Prize has no cash value except for what is stated above and any unused portion of the Grand Prize will not be awarded as cash or otherwise. No transfer, assignment or substitution of the Grand Prize (in whole or in part), except that Sponsor reserves the right to substitute a prize of equal or greater value. Products, tickets, or any other element received as part of the Grand Prize may not be resold, auctioned, bartered, or placed into any other unauthorized channels of distribution. Any prize pictured in advertising or promotional materials is for illustrative purposes only and may not be the actual prize awarded.

GRAND PRIZE RESTRICTIONS: No transfer or substitution of the Grand Prize is allowed except at the sole discretion of the Sponsor. Grand Prize Winner is required to comply with any and all applicable federal, state, and local laws, rules and regulations. The value of the Grand Prize is taxable as income and the Grand Prize Winner is solely responsible for all matters relating to the Grand Prize, including, but not limited to all applicable federal, state, and local taxes that become due with respect to the Grand Prize. Sponsor reserves the right to substitute a prize of equal or greater value if any part of the Grand Prize becomes unavailable due to reasons beyond the control of the Sponsor. Sponsor will not replace any lost or stolen portion of the Grand Prize. No more than the one (1) Grand Prize as set forth in these Official Rules will be awarded. In the event any issues arise due to a pandemic, the Sponsor has the right to make changes to the Grand Prize as necessary and will provide any changes to the Grand Prize Winner.  SPONSOR MAY MODIFY, SUSPEND OR EVEN ELIMINATE PRIZE ELEMENTS ALTOGETHER WITH LITTLE OR NO ADVANCED NOTICE AND WITHOUT LIABILITY OF ANY KIND BASED ON MODIFICATIONS TO U.S. FEDERAL/STATE/LOCAL LAWS/REGULATIONS  SETTING FORTH REQUIRED CONDUCT RELATIVE TO COVID-19; SPONSOR’S ASSESSMENT IN ITS SOLE DISCRETION OF CURRENT HEALTH CONDITIONS IN APPLICABLE JURISDICTIONS (INCLUDING BUT NOT LIMITED TO DATA AS TO POSITIVE TESTS FOR COVID-19, PROJECTIONS BY GOVERNMENTAL BODIES OR RESEARCH INSTITUTIONS AS TO THE SPREAD OF COVID-19); AND/OR ANCILLARY CONCERNS RELATED THERETO.

GRAND PRIZE NOTIFICATION/CLAIM: Potential Grand Prize Winner will be notified by the Independent Administrator via email or any other available contact source provided at the time of entry within two (2) days from the drawing date (the “Notification”). In the event the Independent Administrator cannot reach a potential Grand Prize Winner via the Notification, the potential Grand Prize Winner does not respond by the date indicated within the Notification, or if it is determined by the Promotion Administrator/Sponsor, in their sole discretion, that a potential Grand Prize Winner is not eligible in accordance with these Official Rules, he/she will be disqualified (without compensation of any kind) and an alternate Grand Prize Winner will be selected from among all remaining eligible entries received during the Promotion Period, and he/she will be notified as outlined above, time permitting.

Except where prohibited, Grand Prize Winner must sign and return to the Independent Administrator, within the date and time indicated in the Notification, an “Affidavit of Eligibility/Liability/Publicity Release” and IRS form W-9 (collectively, the “Required Documents”) in order to claim the Grand Prize. If a potential Grand Prize Winner fails to sign and return the Required Documents within the required time period, the potential Grand Prize Winner forfeits his/her right to the Grand Prize and an alternate Grand Prize Winner will be selected at random from among all remaining eligible entries received during the Promotion Period. The value associated with the Grand Prize is taxable as income and the Grand Prize Winner is solely responsible for any taxes, including, but not limited to all applicable federal, state and local taxes that become due with respect to the value of the Grand Prize. The Sponsor (or third party acting on its behalf) must report the value of the Grand Prize to the Internal Revenue Service in the year the Grand Prize is received by the Grand Prize Winner and will be reported to the Grand Prize Winner and the Internal Revenue Service in the form of a Form 1099.  In the event it is deemed during the verification process that the potential Grand Prize Winner does not have a unique, personal and valid social security number for Sponsor (or third party acting on its behalf) to report the tax liability associated with acceptance of the Grand Prize, potential Grand Prize Winner will be disqualified and another Grand Prize Winner will be selected as outlined above. Valid social security numbers will be determined by IRS requirements. If it is determined by the Sponsor, in its sole discretion, that a potential Grand Prize Winner is not eligible in accordance with these Official Rules, the potential Grand Prize Winner forfeits his/her right to the Grand Prize and an alternate will be selected as outlined above. In the event that a potential Grand Prize Winner is disqualified for any reason, Sponsor shall have no liability or obligation to such individual.

GENERAL RULES OF PARTICIPATION: Promotion is subject to all applicable federal, state, and local laws. By participating in the Promotion, Entrants agree: [a] to abide by and be bound by these Official Rules and decisions of Sponsor and judges which shall be final in all respects relating to the Promotion, including without limitation the interpretation of these Official Rules;  [b] to release, discharge and hold harmless Sponsor, its employees, officers, directors, franchisees, licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion from any and all injuries, liability, losses, damages, rights, claims and actions of any kind including liability for personal injury or death resulting from their participation in the Promotion or their acceptance, use or misuse of the Grand Prize; and [c] if the Grand Prize Winner, to the use of his/her name, voice, image and/or likenesses for advertising, publicity and promotional purposes by Sponsor or Promotion Entities without further compensation (unless prohibited by law) and to execute specific consent to such use if asked to do so.  All Promotion materials are subject to verification and are void if [a] not obtained in accordance with these Official Rules and through legitimate channels; [b] any part is counterfeited, altered, defective, damaged, illegible, reproduced, tampered with, mutilated or irregular in any way; [c] are obtained where prohibited; or [d] are mutilated, altered, copied, hand printed, forged, water damaged, manipulated or tampered with in any way, or which contain any printing, mechanical or typographical errors, will be considered null and void and will not be eligible for the Grand Prize. Sponsors’ liability for defective Promotion materials is limited to replacement while supplies last. Entrants assume all risk of loss, damage, destruction, delay or misdirection of Promotion Materials submitted to Sponsor and / or Promotion Administrator.  Sponsor, its licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion and their respective directors, officers, shareholders and employees are not responsible and shall not be liable for printing, distribution or production errors and Sponsor may rescind, cancel or revoke the Promotion based upon any printing, distribution, production or other error without liability at its sole discretion. Sponsor and / or Promotion Administrator are not responsible for lost, late, incomplete, incorrect, damaged, misdirected, illegible, or postage due requests or claims or any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted.  Sponsor may prohibit an Entrant from participating in the Promotion or winning the Grand Prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Promotion by cheating, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Promotion Administrator or is in default of any agreement with Sponsor. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. If, for any reason whatsoever, the Promotion, in Sponsor’s sole opinion, is not capable of running as planned, including, but not limited to, by reason of tampering, fraud, or any other cause which, in the Sponsor’s sole judgment, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion, limit entries to those submitted prior to the action taken, and conduct a random drawing from those entries for which only the advertised number of prizes will be selected. Entry information becomes property of Sponsor.  

NO LIABILITY: By participating, Entrants agree to release, discharge, indemnify and hold harmless the Sponsor, Feld Motorsports, Inc. and each and all of the Promotion Entities from and against any claims made by the Grand Prize Winner, Entrants, or any other third parties, related in any way to the operation of the Promotion as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Promotion-related activity, in the Promotion or any claims based on publicity rights, defamation or invasion of privacy or merchandise delivery.

INFORMATION/PRIVACY POLICY: By entering the Promotion, each Entrant consents to the collection, use and distribution of his or her personal information (information that identifies an Entrant as an individual, name, email address, and date of birth) by the Sponsor and Promotion Administrator for the purposes of implementing, administering and fulfilling this Promotion and, if consent is given at the time of entry.  Sponsor will use all personal information in accordance with its Privacy Policy, available here: https://portal.smartfi.com/privacy-policy.

WINNERS’ LIST REQUEST: To receive winner’s list, send a self-addressed, stamped (business size) envelope to: “Race to Win SmartFi $30,000 Supercross Crypto”” Winner’s List Request, PO Box 458, Newark, NY  14513. Requests must be received by April 25, 2022.
